General terms and conditions of business

1. Scope
For the business relationship between the company Joils, Niels Goyke, Im Buchwald 73, 70186 Stuttgart, hereinafter referred to as Joils, and the customer, and also for all future transactions, the following general terms and conditions apply exclusively in the version valid at the time of the order. Joils does not recognize any terms and conditions that conflict with or deviate from these GTC and hereby expressly objects to them. Conflicting terms and conditions of the customer are only binding if Joils expressly agrees to them in writing.

2. Order and conclusion of contract
Offer prices and delivery time information from Joils are subject to change and non-binding, unless Joils has expressly designated them in writing as binding. Information from Joils about the goods (technical data, dimensions, etc.) are only approximate guide values; in particular, they only represent a quality agreement or guarantee if the information is expressly designated as such by Joils in writing. An order represents an offer to Joils to conclude a sales contract. After receipt of the order, the customer receives an e-mail in which the receipt of the order is confirmed and details such as the final price and order number are listed. This order confirmation does not represent acceptance of the offer. A purchase contract is only concluded when the ordered product is shipped to the customer or when a separate order confirmation is sent by email. No sales contract is concluded for products from an order that are not listed in the shipping or order confirmation. If Joils is not able to deliver the ordered goods through no fault of its own because Joils' pre-supplier does not fulfill its contractual obligations, Joils is entitled to withdraw from the order. In this case, the customer will be informed immediately that the ordered product is not available. The legal rights of the customer remain unaffected. Joils does not offer products for sale by minors. Products offered by Joils can only be purchased by adults.

3. Terms of payment and retention of title
The prices quoted in the Joils online shop are final prices in euros and include the statutory VAT of 19% currently applicable in Germany. The invoice amount is due upon acceptance of the order (see point 2 of the General Terms and Conditions). Depending on the amount of the invoice, the customer can pay in advance by bank transfer or by PayPal. For payment in advance, the invoice amount is to be transferred after receipt of the invoice, stating the order number, to the Joils account at the Kreissparkasse Calw (BLZ 66650085) with account number 7958064. The goods remain the property of Joils until full payment of the invoice amount

4. Shipping and damage in transit
Unless otherwise agreed, delivery will be made from stock to the delivery address specified by the customer. Shipping within Germany takes place as an insured DHL package or as a letter with Deutsche Post AG. Joils is entitled to have the delivery carried out by another shipping company. If a parcel is damaged during transport by the parcel service, please refuse acceptance and have it returned by the parcel service. We will resend the ordered items promptly.

5. Warranty and Liability
If the delivered goods are defective, the statutory provisions apply. The assignment of the customer's warranty claims is excluded. Unless otherwise stated below, further claims by the customer (regardless of the legal grounds) are excluded. Joils is not liable for damage that has not occurred to the delivery item itself; in particular, Joils is not liable for lost profits or other financial losses of the customer. Insofar as the contractual liability of Joils is excluded or limited, this also applies to the personal liability of employees, representatives and vicarious agents. The above limitation of liability does not apply if the damage was caused intentionally or through gross negligence or if there was personal injury. If Joils negligently breaches an essential contractual obligation, the obligation to pay compensation for damage to property is limited to the foreseeable damage that is typical for the contract, which generally does not exceed the purchase price of the goods ordered. If the supplementary performance is by way of a replacement delivery, the customer is obliged to return the goods that were initially delivered to Joils within 30 days at Joils' expense. The defective goods must be returned in accordance with the statutory provisions.

6. Privacy

Joils treats customer data with the utmost care and attaches great importance to compliance with data protection.

7. Governing Law and Jurisdiction
As far as permissible (eg among merchants), the place of jurisdiction for all legal disputes between Joils and the customer is Stuttgart. The contractual relationship is exclusively subject to German law, excluding international private law and the UN Sales Convention.

8. Final Provision 
Should one or more provisions of these General Terms and Conditions be ineffective, this does not result in the ineffectiveness of the entire contract. The ineffective regulation will be replaced by the relevant statutory regulation.
